IntelliGienic Terms & Conditions of Sale and Website Use

Introduction & Acceptance of Terms

This Agreement governs your use of the website at www.intelligienic.com (the "Site"). The Site is the property of Intelligienic Technology Corp. (hereafter referred to as "the Company," "we," "us," or "our"). By accessing or using the Site, or by purchasing products from the IntelliGienic store, you agree, on behalf of yourself and any organization you represent, to be bound by these Terms and Conditions.

1. Changes to this Agreement

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will post the revised version on this page. Your continued use of the Web Site after any changes are posted constitutes acceptance of those changes.

2. E-commerce Transactions & Order Fulfillment

2.1 Product Information, Pricing, and Errors

We strive to provide accurate product information, availability, and pricing. However, misprints, errors, or inaccuracies may occur. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice. If an order is placed for a product with an incorrect price or description, we reserve the right to reject or cancel the order. If your credit card has already been charged, we will issue a credit to your payment account.

2.2 Order Acceptance

Advertisements on the Web Site are invitations to treat (solicit offers to purchase), not binding offers to sell. Your completed order submission constitutes your offer to purchase. An order is only accepted when IntelliGienic sends an Order Acceptance and Shipment Notice to your registered email address. We reserve the right to refuse any order for any reason.

2.3 Payment

You agree to pay the full price for the products ordered, plus all applicable shipping fees and taxes. You warrant that you are the lawful owner of the payment method used.

2.4 Shipping and Risk of Loss

We will arrange for shipment of the products to you. Title and risk of loss for all products ordered pass to you upon our delivery of the products to the designated carrier. 3. Use of Personal and Business Information

We collect, use, and disclose your personal and business information (including registration, payment, and transaction details) in accordance with our separate Privacy Policy. By accepting these T&Cs, you consent to our collection, use, and disclosure of your information as outlined in the Privacy Policy. You certify that all information you provide is true, accurate, current, and complete. You are responsible for immediately updating any changes to your information, especially billing and shipping addresses.

4. Intellectual Property Rights

The Web Site, all its content, designs, images, and software (including our proprietary designs and code for AI/Robotics products) are owned by IntelliGienic, its affiliates, or licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Web Site solely for personal and transactional purposes (viewing, purchasing). You may not copy, reproduce, modify, or exploit any portion of the Web Site for commercial purposes without our express written consent.

5. Disclaimers and Limitation of Liability

THE WEB SITE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEB SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

5.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, INTELLIGIENIC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR PRODUCTION) ARISING FROM YOUR USE OF THE WEB SITE OR ANY PRODUCTS PURCHASED, REGARDLESS OF THE LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT(S) OR SERVICE(S) GIVING RISE TO THE CLAIM.

6. Indemnity

You agree to indemnify, defend, and hold harmless IntelliGienic, its affiliates, officers, directors, and employees from any claim, liability, loss, expense, or demand, including reasonable legal fees, arising out of your breach of this Agreement or your improper use of the Web Site or the products.

7. Governing Law and Dispute Resolution

This Agreement and your use of the Web Site shall be governed by and construed in accordance with the laws of Taiwan, without regard to its conflict of law principles.

Any dispute or claim related to this Agreement or the Web Site shall be brought only in the competent courts located in Taipei, Taiwan. You waive any objection to such jurisdiction or venue.

8. Miscellaneous Provisions

Links to Other Sites: The Web Site may contain links to third-party sites. We are not responsible for the content, privacy policies, or practices of any third-party websites.
Waiver: Any failure by us to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
Entire Agreement: This Agreement, along with the Privacy Policy, constitutes the entire agreement between you and IntelliGienic concerning your use of the Web Site.
